PRIVACY POLICIES AND TERMS AND CONDITIONS

I. SCOPE

 

These Privacy Policies and Terms and Conditions (“Policies”) describe the practices of Galava Capital Management LLC (“Galava”) with respect to the websites, applications, and other interactive services that link to or reference these Policies (collectively, the “Sites” or individually, a “Site”). These Sites are designed for use on mobile devices, tablets, personal computers, and other platforms, and may include features or services offered through affiliated applications or platforms operated by Galava. By accessing any of the Sites, you are consenting to Policies. These Policies describe: the general terms and conditions you accept by using the Sites; what information Galava collects from users, including children, when they access the Sites; how such information is used, stored and shared; when such information may be disclosed to third parties; what kind of third parties may receive this information; how users, including parents and guardians, can manage the use, collection and disclosure of this information; Galava’s compliance with the Children’s Online Privacy Protection Act of 1998 (“COPPA”), General Data Protection Regulations (“GDPR”) and the California Consumer Privacy Act (“CCPA”), as amended by the California Privacy Rights Act (“CPRA”); and the additional measures Galava takes to protect user information.

II. GENERAL TERMS AND CONDITIONS.

A. Use of Content. The text, images, data, illustrations, files, audio and video clips, designs, documents, and other materials and content (collectively, the “Content”) on the Site is Galava’s property and may be protected by copyright and other restrictions. Copyrights and other proprietary rights in the Content may also be owned by parties other than us.  You may not copy, modify, distribute or otherwise use any of the Content, except for your personal and non-commercial use.  Please note that Galava may withdraw any Content from the Site at any time in Galava’s sole discretion.

B. User Warranty. By downloading, printing, or otherwise using any of the Content, you agree that you will (i) restrict your use of such Content to personal and non-commercial use, (ii) comply with all of these Policies, and (iii) not violate Galava’s rights or the rights of any other person or entity.  Galava does not warrant that the use of any of the Content will not infringe the rights of third parties.

C. Commercial Use is Restricted. Unauthorized commercial publication or exploitation of text, images, documents, materials or any other Content is prohibited.  If you wish to use any of the Content for commercial use, publication, or any purpose other than personal use, you must obtain Galava’s written permission prior to such use.  Galava may, in its sole discretion, grant permission for such use on a case-by-case basis and it may charge a usage fee for such use.  You may not alter or attempt to alter any material on the Site.  You also may not, without Galava’s permission, “mirror” any material contained on this Site or any other server.  Any unauthorized use of any material contained on this Site may violate copyright laws, trademark laws, laws of privacy and publicity, and other such applicable laws and regulations. 

D. Trademarks. Names, titles, trademarks, service marks, copyrights and logos (collectively, the “Trademarks”) displayed on the Site are Galava’s registered and/or unregistered common law trademarks and/or copyrights, or those of third parties.  Nothing contained in the Site should be construed as granting, by implication or otherwise, any license or right to use any Trademark displayed on the Site without Galava’s express written permission or that of the appropriate third party that owns the Trademark.  Except as permitted by these Policies, any unauthorized use of the Trademarks is prohibited. 

E. Digital Millennium Copyright Agent. For purposes of the Digital Millennium Copyright Act (“DMCA”), Galava has designated an agent for notices of claimed infringement.  If you have any objections governed by the DMCA, please contact the agent listed under the Section entitled “Contact Us” below.  Galava provided this contact information for purposes of the DMCA only and reserves the right to respond to communication that is relevant for this purpose.

F. FTC Disclosure Policy.  The Federal Trade Commission requires us to disclose any relationship Galava may have with any person or entity that provides something of value in connection with any endorsements made on the Site.  Galava may from time to time in the future receive compensation for certain activities with respect to the Site in connection with providing information on certain services, websites and various other topics.  

G. User Accounts. If in order to access certain areas of the Site, you may create a user account and login (a “User Account”).  You may never use another party’s User Account without such party’s express written authorization.  You are solely responsible for all activity that occurs with respect to your User Account. You are solely responsible for maintaining the confidentiality of your User Account and keeping the username and password to your User Account secure. You agree to notify us immediately of any security breach or unauthorized use of your User Account.  Galava will not be liable for any costs, losses, claims or damages that you or any third party incur which are directly or indirectly caused by any unauthorized use of your User Account.  You certify to us that: (i) you are at least 18 years of age; (ii) you assume full responsibility for the use of this Site by any minors; (iii) you agree that all information you have submitted to us is accurate and complete; (iv) you have not knowingly submitted false information on or through the our Site; and (v) your use of Galava’s services is subject to all applicable federal, state, and local laws and regulations.

H. Non-Malicious Use. You agree not to use or launch any automated system, including, without limitation, “robots,” “spiders,” or “offline readers,” that accesses the Site in a manner that sends more request messages to the Site’s servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, Galava grants the operators of public search engines permission to use spiders to copy materials from the Site for the sole purpose of, and solely to the extent necessary for, creating publicly available searchable indices of the materials, but not caches or archives of such materials. Galava reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the Site, nor to use the communication systems provided by the Site, for any commercial solicitation purposes. You agree not to circumvent, disable or otherwise interfere with security-related features of the Site or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Site or the Content.  You may not use the Site in any manner that could disable, overburden or impair any of Galava’s servers, or interfere with any other person’s use and enjoyment of the Site, through hacking, password mining or any other means.  You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through this Site. Your rights to use this Site may be further limited by international law, federal law or the laws or regulations in your particular county, state or locality.  Galava may, in its sole discretion, and at any time, modify or discontinue the Site, or limit, terminate or suspend your use of the Site, although Galava’s is under no obligation to do so.

I. Limited Access.  From time to time, the Site may be inaccessible or inoperable for any reason, including equipment malfunctions, Site updates, maintenance and repairs and causes beyond Galava’s control or those that are not reasonably foreseeable.

J. WARRANTY DISCLAIMERS. THE INFORMATION AND DESCRIPTIONS CONTAINED ON THE SITE ARE NOT INTENDED TO BE COMPLETE DESCRIPTIONS OF ALL TERMS, EXCLUSIONS AND CONDITIONS APPLICABLE TO EVERY PRODUCT OR SERVICE GALAVA OFFERS, BUT ARE PROVIDED FOR GENERAL INFORMATIONAL PURPOSES.  GALAVA MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE CONTENT ON THE SITE IS SUITABLE FOR YOUR NEEDS, IS COMPLETE, TIMELY OR RELIABLE.  ALL TEXT, IMAGES AND OTHER CONTENT ON THE SITE ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE, AND/OR NON-INFRINGEMENT.  GALAVA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR FREE OF ERRORS, VIRUSES OR OTHER HARMFUL CODE, OR THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED.    

K. GENERAL DISCLAIMERS.  GALAVA ASSUMES NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR (I) ANY ERRORS OR OMISSIONS IN THE CONTENT ON THE SITE, (II) DAMAGE TO OR VIRUSES THAT MAY INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR USE OF THE SITE OR YOUR DOWNLOADING OF ANY TEXT, IMAGES OR OTHER CONTENT FROM THE SITE, OR (III) ANY DAMAGE ARISING IN CONNECTION WITH ANY FAILURE OF PERFORMANCE, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, OR LINE OR SYSTEM FAILURE.  

L. LIMITATION OF LIABILITY.  GALAVA, ITS AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND REPRESENTATIVES WILL HAVE NO LIABILITY FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, CONSEQUENTIAL, COMPENSATORY, SPECIAL, PUNITIVE, OR INCIDENTAL DAMAGES (EVEN IF GALAVA, ITS OWNERS OR AFFILIATES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING OUT OF OR RELATING TO THE USE OF, RELIANCE ON OR INABILITY TO USE THE SITE OR THE CONTENT OR SERVICES PROVIDED ON OR RECEIVED FROM THE SITE.  PLEASE NOTE THAT YOUR USE OF THE SITE IS AT YOUR SOLE RISK.  

M. INDEMNITY. YOU AGREE TO INDEMNIFY AND HOLD GALAVA, ITS AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND REPRESENTATIVES HARMLESS FROM ANY LOSS, LIABILITY, CLAIM OR DEMAND, INCLUDING REASONABLE ATTORNEYS’ FEES AND COSTS, DUE TO OR ARISING OUT OF (I) YOUR USE OF THE SITE; (II) YOUR BREACH OF THESE POLICIES; OR (III) YOUR VIOLATION OF ANY THIRD PARTY RIGHT.  

N. Release.  You release Galava and its affiliates, shareholders, directors, officers, employees, agents, representatives and licensors from any and all claims, demands, losses and damages of every kind and nature, whether known or unknown, arising out of or in any way relating to the Site, your use of the Site, other users’ use of the Site and any dispute or defense you have or claim to have against us or one or more users of the Site.

O. Reservation of Rights.  Galava specifically reserves all rights that it does not expressly grant in these Policies.  Nothing on the Site or in these Policies grant any right or license to use any property of any third party. 

III. INFORMATION COLLECTION AND USE.

 

Galava may collect certain information when you visit or interact with the Sites. However, visitors are required to share only the information that is reasonably necessary to participate in the particular activity. You may remove any information you provide to the Sites at any time, at your sole discretion.

 

A. Legal Basis for Processing. Galava processes personal data in accordance with applicable data protection laws, including the GDPR, CCPA, CPRA and COPPA. The legal bases for processing your personal data include: where you have provided explicit consent (e.g., for marketing or optional cookies); to perform Galava’s obligations under a contract with you (such as account access or service delivery); where Galava is legally required to process your data; for purposes such as improving Galava’s services, preventing fraud, and enhancing the user experience, where such interests are not overridden by your data protection rights. You may withdraw your consent at any time where processing is based on consent. If you are located in the EEA, UK, or other regions with data protection laws, your information may be transferred to countries outside of your jurisdiction, including the United States, where data protection laws may differ.

B. Registration Information. The information required to register varies by Site but may include: (a) birth date; (b) gender; (c) country; (d) state; (e) zip code; (f) username and password; (g) wireless telephone number; (h) email address; and (i) other typical profile information such as identifiers, employment status, employer, and communications preferences. Registration information is used to enable visitors to log into their accounts across different devices and platforms; take advantage of the Sites, the Sites’ service offerings; respond to requests for products, services, and information; send communications to users in connection with their account; serve appropriate material; and customize the content you see when you visit the Site.

C. Computer Information Collected By Galava.

a. When visitors come to a Site, Galava may automatically collect certain information from their computers or mobile devices, such as the type of computer operating system (e.g., Windows XP or Mac OS), the visitor’s IP address, the web browser (e.g., Internet Explorer, Safari, Chrome and Firefox), UDID (for certain mobile devices), information about the websites visited before and after visiting the Site, the web pages and advertisements viewed and links clicked on within the Site, interactions with e-mail messages sent by a Site (e.g., links clicked on and whether the messages were opened or forwarded), information collected through the use of unique identifiers such as cookies (see below), information regarding the Internet service provider, and other standard server log information (“Computer Information”).

b. Galava may use cookies, web beacons, tokens or similar technologies (collectively referred to as “Tracking Technologies”) on the Site.

i. “Cookies” (which may be html files or other technology) are text files that help store user preferences and activity.

ii. “Web beacons” (also known as image tags, gif or web bugs) are small pieces of code used to collect advertising data, such as counting page views, promotion views or advertising responses.

iii. “Tokens” are unique persistent identifiers that are generated and sent from a server, to a user’s device to identify an interaction session, such as the authentication for a user’s cable provider service, and which are usually stored as a Cookie.​

c. The Site and/or third parties may use Tracking Technologies to collect Computer Information automatically as you browse the Site and the web. Galava may use Tracking Technologies to help tailor Galava’s content, allow users to move between certain Sites without logging into each Site, enable the internal functioning of the Site, understand the Site and internet usage, improve or customize the content, offerings or advertisements on the Site, personalize your experience on the Site (for example, to recognize you by name when you return to the Site), understand your interactions with email messages originating from the Site (such as the links clicked on and whether the messages were opened or forwarded), save your password, save your settings, help us offer you products, programs or services that may be of interest to you, and maintain and administer the Site. These Tracking Technologies collect “click stream” data and additional other information regarding your visits to the Site (such as your visits to specific webpages, use of features, purchasing history or preferences), may collect such other information across multiple sessions on the Site and other websites and may also collect your IP address or some other identifier unique to the device you use to access the Site (“Identifier”). An Identifier may be automatically assigned to any device you use to access the Site. By visiting a Site, whether as a registered user or otherwise, you acknowledge, understand and hereby agree that you are giving us your consent to set and access Cookies on your device and track your activities and your use of a Site through these Tracking Technologies and Identifiers and that we may use Tracking Technologies in the emails Galava sends to you.

d. To opt-in or opt-out of non-essential Cookies, please use your browsers Cookie preferences tool or your devices settings function.

 

D. Computer Information Collected By Others.

a. Galava uses the services of third parties who may collect, use or disclose Cookie information, IP addresses or other identifiers from devices and/or browsers of users who visit Site. The Site uses a variety of third-party advertising networks, data exchanges, traffic measurement service providers, marketing analytics service providers, and other third-party service providers (collectively, “Third Party Advertising Service Providers”) to, for example, serve advertisements on the Site, facilitate targeting of advertisements, and measure and analyze advertising effectiveness and/or traffic on the Site (“Targeting Services”). These Third-Party Advertising Service Providers do not have access to Tracking Technologies set by the Site except to the extent necessary to provide services to the Site. The Third-Party Advertising Service Providers, as well as advertisers, may themselves set and access their own Tracking Technologies on your device if you choose to have Tracking Technologies enabled in your browser and/or they may otherwise have access to other information about you. In addition, Third Party Advertising Service Providers may collect aggregate log data separately and independently from what the Site collects.

b. You should be aware that different rules might apply to the collection, use or disclosure of your information by third parties in connection with their advertisements, promotions and other websites you encounter on the Internet. The use of such technology by these third parties is within their control and not the Site. Even if Galava has a relationship with the third party, Galava does not control those Sites or their policies and practices regarding your information and those Sites may use the information they collect from you consistent with their own privacy policies, which we encourage you to review. Galava encourages you to research and direct any of your questions in this regard to these third parties.

E. Geolocation Information. Galava may collect and store information about your geographic location. Galava will only collect precise geolocation information sufficient to identify street name and name of a city or town on Site that are directed to users. You may be able to change the settings on your computer or mobile device to prevent it from providing Galava with such information. Galava uses this information, for example, to enable visitors to take advantage of Site offerings; respond to visitor’s requests for products, services, and information; manage schedules; customize the content visitors see when visiting the Site; and to offer visitors special offers and promotions from Site, as well as on behalf of selected third parties offering products, programs or services that we believe may be of interest to our visitors. By accepting these Policies and using the applicable Site, you hereby consent to the collection and storage of such geolocation information as described above.

F. Financial Information. Galava may collect and use financial information, such as credit card numbers and security codes, as required for the use of the Site and its services.

G. Other Data Collection and Use. Galava may collect search query information when visitors search for information on the Site. Galava may also collect information from visitors when they contact Galava with questions and comments. Galava may use this information, along with any of the other information described above, to: analyze use of the Site and understand and improve Galava’s service offerings; prevent potentially prohibited or illegal activities; and for any other purposes disclosed to you at the time we collect your information or pursuant to your consent. Galava may combine information collected through the Site with information Galava collects from other sources (e.g., social media integration services, offline records or publicly available information). It is your responsibility to provide complete and accurate information and to keep such information up to date. Galava is not responsible for any problem or liability arising from your failure to do so.

H. Electronic Newsletters. Visitors can provide their email addresses to receive email newsletters from Galava. Visitors may change their preferences regarding emails at any time through the unsubscribe link in the newsletters or, for certain Site, by logging into and changing the preferences for their account.

I. Interactive Features and Services. Some of the Site offer interactive features and services, such as message boards and comment boxes. Galava uses the information collected through interactive features and services to enable you to participate in such features and services.

J. Text Messaging Marketing and Promotions. Consistent with local law, appropriately aged visitors may have the opportunity to register for services, news, and information delivered via text messaging (“Text Services”). If Galava does so, Galava will require your prior express consent for any Text Services in accordance with the nature of the Text Service and applicable laws, rules and regulations. When you register for Text Services, you acknowledge, understand and agree that you may be charged by your wireless carrier for the ability to send or receive all such messages. The standard messaging rates of your wireless carrier shall apply to all Text Services, unless noted otherwise. Under no circumstances will Galava be responsible for any wireless email or text messaging charges incurred by such visitor or by a person that has access to a visitor’s wireless device, telephone number, or email address. If you change or deactivate your wireless telephone number, you agree to notify Galava when your wireless telephone number is no longer associated with you and identify such wireless phone number to ensure that future messages directed to you are not sent to the person to whom your old number has been or will be assigned. Galava may share your personal information with the operational service providers that assist us in delivering Text Services and similar services to you and as otherwise provided in Disclosure to Third-Parties below.

K. Children’s Online Privacy Protection Act. Galava’s privacy practices are guided by the United States’ Children’s Online Privacy Protection Act of 1998, as well as data privacy laws in the United States and other applicable countries. Younger visitors should always check with their parents or guardians before entering information on any website or mobile application and we encourage families to discuss their household guidelines regarding the online sharing of personal information.

 

IV. DISCLOSURE TO THIRD PARTIES.

 

Galava may share your information with Third-Parties for the limited purposes described below. In the U.S., parents of children under the age of thirteen (13) have the option of consenting to the collection and use of their child’s personal information without consenting to the disclosure of that information to certain Third-Parties.

 

A. Law Enforcement and Safety. You acknowledge, consent, and agree to the extent legally permissible in your jurisdiction to allow us to access, preserve, and/or disclose the information we collect and/or content you provide to Galava (including information you may have posted on bulletin boards or internal Site communication systems) to a law enforcement agency or other third parties if required to do so by law or with a good faith belief that such access, preservation, or disclosure is reasonably necessary to: (a) comply with legal process; (b) when applicable, to enforce the terms of use of the respective Site; (c) respond to claims that the content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property, or personal safety of the owners of the Site, any user of the Site, a third party or the general public. Galava also may disclose user information whenever we believe disclosure is necessary to limit our legal liability; to protect or defend our rights or property; or protect the safety, rights, or property of others.

B. Agents. Information collected through the Site may be transferred, disclosed or shared with third parties engaged by Galava to handle and deliver certain services and to perform other technical and processing functions. Galava may provide these third parties with information collected as needed to perform their functions, but they are prohibited from using it for other purposes. Some of these agents, such as payment processors, may request additional information during the course of offering their services.

C. Third Parties/Advertisers. Galava uses the services of third parties who may collect, use or disclose Cookie information, IP addresses or other identifiers from devices and/or browsers of users who visit Site. Some Site partner work with outside third parties to provide you with additional content, products, or services that they believe may be of interest. These partners operate websites and services that are separate and independent from the Site and, accordingly, may have their own privacy policies.

D. Business Transfer. In the event that assets relating to one or more of the Sites are transferred or sold to another entity as a result of, for example, a corporate sale, merger, consolidation, asset sale, or in the unlikely event of bankruptcy, information collected at the Site may be transferred to the acquiring company.

V. SECURITY, STORAGE AND RETENTION OF INFORMATION.

 

The Site maintains reasonable technical and organizational steps to help ensure that information collected is secure, including limiting the number of people who have physical access to our database servers and use of electronic security systems and password protections which guard against unauthorized access. The Site conduct financial transactions via secured transmissions. Galava limits access to visitor’s information to employees and contractors who are authorized for the proper handling of such information, and any employee found violating our standards of security and confidentiality will be subject to Galava’s disciplinary processes. Galava also take reasonable steps to help make sure our third-party agents protect the security of your personal information. However, as with most Internet sites or services, it is possible that third parties may unlawfully access such personal information through a number of means despite our efforts.


Information collected at the Site will not be stored for longer than is necessary for the purposes described in these Policies, or to otherwise meet legal requirements.

 

VI. ACCESSING AND CORRECTING INFORMATION.

 

A. Reviewing Your Information. You have the right to access, update and correct factual inaccuracies in personally identifiable information that we collect online at the Site, subject to certain exceptions. To do so, you should log into your account to delete such information. To help protect your privacy and the security of your personally identifiable information, we will take reasonable steps to verify your identity before granting access.

B. Parental Access. In accordance with the Children’s Online Privacy Protection Act (“COPPA”), parents or legal guardians of children under the age of thirteen (13) have the right to review any personal information Galava may have collected from their child, request the deletion of such information, and refuse any further collection or use of their child’s personal data. To exercise these rights, a verifiable request must be submitted to Galava. This request may involve providing a signed statement by mail or fax, or using another reliable method of verification permitted under COPPA, such as confirmation through a government-issued ID, a credit card transaction, or a brief video call with a trained representative. Galava will take all reasonable steps to verify the identity of the individual making the request and to confirm that they are the child’s parent or legal guardian before disclosing any information or taking any action. Once verified, Galava will respond to the request in a timely manner consistent with applicable legal requirements.

C. Deleting Information. You have the right to delete any information that you provide to the Site. To do so, you should log into your account and delete the information you wish to remove from the Site. 
 

VII. LINKS TO THIRD PARTIES.

 

The websites that comprise the Site may contain links to other sites, including those of service partners, sponsors, advertisers, social networking platforms, and survey companies. These other websites are governed by their own privacy policies or information collection practices, which may be substantially different from ours. Galava encourages visitors to other websites to review the privacy policies and information collection practices of those websites.
 

VIII. DATA PRIVACY RIGHTS.

 

Depending on your location, you may have the following rights regarding your personal information:

 

A. European Economic Area (“EEA”) and UK Residents (“GDPR”):

a. Right to Access – Obtain a copy of your personal data.

b. Right to Rectification – Correct inaccurate or incomplete data.

c. Right to Erasure – Request deletion of your data (“right to be forgotten”).

d. Right to Restriction – Limit processing under certain conditions.

e. Right to Object – Object to processing based on legitimate interests or direct marketing.

f. Right to Data Portability – Request transfer of your data to another provider.

B. California Residents (“CCPA/CPRA”):

a. Right to Know – The categories and specific pieces of personal information we collect.

b. Right to Delete – Request deletion of your personal data.

c. Right to Correct – Request correction of inaccurate data.

d. Right to Opt-Out – Prevent sale or sharing of personal data.

e. Right to Limit Use – Restrict use of sensitive personal information.

f. Right to Non-Discrimination – You will not be penalized for exercising your rights.

Under the California Consumer Privacy Act (“CCPA”), as amended by the California Privacy Rights Act (“CPRA”), California residents have the right to opt-out of the sale or sharing of their personal information for cross-context behavioral advertising as well. You can exercise these rights by contacting us at info@galavacap.com, or you may contact us via regular mail at 13355 Noel Rd, #1100, Dallas, TX 75240. Galava will verify your identity before processing your request. This document is the sole statement of the Site’s Policies and no summary, restatement or other version thereof, or other privacy statement or policy, in any form, including, without limitation, machine-generated, is valid.

 

IX. CHANGES TO THESE POLICIES AND NOTICE.

 

Galava reserves the right to revise these Policies at any time for any reason in Galava’s sole discretion by posting updated Policies without advance notice to you. Such revisions shall be effective immediately upon posting and if you use the Site after they become effective it will signify your agreement to be bound by the changes. X. MISCELLANEOUS

 

A. Severance and Waiver.  You acknowledge and agree that in the event any provision of these Policies are held by a court to be invalid, unlawful, or unenforceable, the validity, legality, and/or enforceability of the remaining provisions contained in these Policies will not in any way be affected or impaired.  Our failure to exercise or enforce any right or provision under these Policies will not constitute a waiver of such right or provision by us.

B. Venue and Choice of Law.  These Policies are governed by the laws of the State of Texas, without regard to its conflicts of laws principals.  Any case, controversy, suit, action, or proceeding arising out of, in connection with, or related to these Policies or the Site shall be brought in a federal or state court located in Dallas County, Texas, and you hereby waive any objection to the exclusive jurisdiction of such courts.

C. Entire Agreement.  You agree that these Policies constitute the entire agreement between you and us with respect to your use of the Site.  You agree that these Policies supersede any other agreements between you and us with respect to your use of the Site.
